Terms of Use

1. Acceptance of these Terms
By accessing or using the Loyalty platform (the "Service") — including the customer-facing mobile and web applications, the administrator portal, and any APIs we make available — you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least the age of majority in your jurisdiction (typically 18, or 19 in some Canadian provinces) to create an account. If you are under that age, you may use the Service only with the involvement and consent of a parent or guardian.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to provide accurate, current, and complete information and to keep it current.
- We may suspend or terminate accounts that violate these Terms or applicable law.
4. Loyalty programs and points
- Loyalty programs are operated by individual organizations ("Operators"). Points and rewards have no cash value, are not transferable, and cannot be redeemed for cash unless an Operator explicitly states otherwise.
- Operators are responsible for the rules of their own programs, the goods/services they offer, the points they award, and the rewards they fulfill. The Service is the platform — not the Operator.
- Operators may modify, suspend, or end a program at any time. We are not liable for program changes initiated by an Operator.
5. Acceptable use
You agree not to: (a) reverse-engineer, scrape, or attempt to extract data outside of the documented APIs; (b) interfere with or disrupt the Service; (c) use the Service to violate any law or third-party right; (d) impersonate any person or misrepresent your affiliation; (e) attempt to obtain points or rewards by fraud, manipulation, or abuse of the QR scanning system; or (f) use the Service to send unsolicited communications.
6. Intellectual property
The Service, including all software, designs, trademarks, and content we provide, is owned by us or our licensors. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Operator-uploaded content (logos, reward images, etc.) remains the property of the Operator.
7. Privacy
Our handling of personal information is described in the Privacy Policy, which forms part of these Terms.
8. Communications
By creating an account, you consent to receive transactional emails (account security, points activity, password resets). Marketing communications from Operators require your explicit opt-in and may be revoked at any time from your profile.
9. Third-party services
The Service integrates with third-party providers (cloud storage, transactional email, wallet pass services, etc.). Use of those services is also subject to their own terms and privacy practices.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the relevant disclaimers apply only to the extent permitted.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. Our aggregate liability under these Terms for any claim is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions (including Quebec under the Civil Code, EU member states under unfair-terms directives, and others) may not permit certain exclusions or limitations; in those jurisdictions, the limitations apply to the maximum extent permitted.
12. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising out of your misuse of the Service or violation of these Terms, to the extent permitted by law.
13. Termination
You may stop using the Service at any time and may delete your account. We may suspend or terminate access for material breach of these Terms or as required by law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, governing law) survive.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect for continuing users.
15. Governing law and disputes
These Terms are governed by the laws of [jurisdiction to be set during legal review], without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, except where mandatory consumer-protection laws in your country grant you the right to bring a claim in your local courts (for example, EU consumers may rely on Article 18 of Regulation (EU) No 1215/2012). For users in Canada, nothing in these Terms limits your statutory rights under the Consumer Protection Act of your province.
16. Region-specific provisions
- Canada: Personal information is handled under the federal PIPEDA, Quebec Law 25, and applicable provincial privacy laws.
- United States: Where applicable, residents of California, Colorado, Connecticut, Utah, Virginia and other states with comprehensive privacy laws have rights described in the Privacy Policy.
- European Union / EEA / United Kingdom: The General Data Protection Regulation (GDPR) and the UK GDPR apply. EU-based consumers retain all mandatory rights under their local laws regardless of choice-of-law in these Terms.
- Asia: Where you are located in Mainland China, Hong Kong SAR, Japan, Singapore, South Korea, or India, additional rights and obligations under the local privacy and consumer-protection regimes (PIPL, PDPO, APPI, PDPA, PIPA, DPDP, etc.) apply.
